Terms of Use

1. AGREEMENT TO THESE TERMS

These Terms of Use (the "Terms") are a legally binding agreement between you and 78Cars LLC, doing business as JDM Supply ("JDM Supply," "we," "us," or "our"). They govern your access to and use of the website at https://www.jdmsupply.com, the shipping service at https://shipping.jdmsupply.com, and the related tools, communications, and services we offer (together, the "Services").

By visiting the Services, creating an account, submitting a listing, sending an inquiry, or requesting a shipping quote, you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the Services.

These Terms contain a binding arbitration agreement and class action waiver in Section 17. They affect how disputes between you and JDM Supply are resolved. Please read that section carefully.

2. DEFINITIONS

• "Member" means anyone who creates an account on the Services. "You" and "your" refer to any visitor or Member.
• "Seller" means a Member who posts a vehicle for sale, whether a private party or a dealer.
• "Buyer" means a Member who contacts a Seller about a vehicle or otherwise seeks to buy a vehicle through the Services.
• "Dealer" means a Member that is a licensed vehicle business and participates in the Dealer Program described in Section 6.
• "Listing" means a vehicle advertisement posted on the Services, including its photos, description, price, and details.
• "Content" means any text, photos, messages, data, or other material you submit to or through the Services.

3. ELIGIBILITY AND YOUR ACCOUNT

You must be at least eighteen (18) years old and able to enter into a binding contract to create an account. By creating an account you represent that this is true.

You can create an account with an email address and password, a phone number, or a supported social sign-in provider. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly at support@jdmsupply.com if you believe your account has been used without your permission. Accounts may not be sold, transferred, or shared.

You agree to provide accurate information when you register and to keep it current. We may suspend or close accounts that provide false information or that we reasonably believe are used for fraud, spam, or other misuse.

4. WHAT JDM SUPPLY IS, AND IS NOT

JDM Supply is an online venue where Sellers advertise vehicles and Buyers find and contact them. We also publish educational resources and operate a vehicle shipping desk (Section 9).

Except for the shipping service, JDM Supply is not a party to any vehicle sale. We do not own the vehicles listed, do not act as a dealer, broker, agent, auctioneer, escrow provider, or payment processor for vehicle sales, and do not take title to any vehicle. Price, payment, inspection, title transfer, registration, and delivery are arranged directly between Buyer and Seller.

We do not inspect vehicles or verify the accuracy of Listings. A "Verified Dealer" badge means the Dealer has completed our onboarding and holds an active Dealer Program subscription. It is not a guarantee of the Dealer's conduct, inventory, or the condition of any vehicle.

5. LISTINGS AND SELLER OBLIGATIONS

If you post a Listing, you represent and agree that:

• You own the vehicle or are legally authorized to sell it, and you hold or can deliver clear title.
• Every statement in the Listing, including year, make, model, mileage, condition, history, import status, and price, is accurate and not misleading.
• You own or have permission to use every photo and description you upload, and they are not copied from another seller or site.
• Each Listing describes one vehicle that is actually available for sale at the listed price, and you will mark it sold or remove it when it is no longer available.
• Contact details, external links, and off-platform payment instructions belong in your profile or in Member Messaging, not in the Listing text or photos.
• You will comply with all laws that apply to selling a vehicle, including federal import rules, state dealer licensing, titling, odometer disclosure, advertising, and consumer protection laws.

Automated review. Listings are reviewed by automated systems, including third-party artificial intelligence services, before and after they are published. These checks look for contact details, prohibited content, unusable photos, and other policy issues. A Listing may be held, rejected, edited, or removed by these systems or by our team at any time and for any reason, without notice. We do not guarantee that automated review will catch every problem, and passing review is not a statement that a Listing is accurate.

We may edit the format, categorization, or presentation of Listings, and may display them on other pages, in emails, in search results, and on our social media channels to promote the Services.

6. DEALER PROGRAM

The Dealer Program is a paid subscription for licensed vehicle businesses. It provides a dealer profile, listing tools, lead routing, and optional inventory synchronization from the Dealer's own website or inventory system.

Fees and billing. Subscription pricing, billing frequency, and any setup fees are those agreed at signup or stated on the dealer pricing page at the time you subscribe. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time by emailing support@jdmsupply.com; cancellation takes effect at the end of the current billing period, and fees already paid are not refunded for partial periods unless the law requires otherwise. We may change pricing with at least thirty (30) days' notice before the change applies to your next renewal.

Inventory synchronization. If you enable inventory sync, you authorize us to retrieve vehicle data and photos from the source you designate and to publish them as Listings under your account. You remain responsible for the accuracy of synced Listings exactly as if you had entered them by hand. We may pause or disable a sync that produces errors, duplicate Listings, or content that violates these Terms.

Leads. Buyer inquiries are delivered to Dealers through Member Messaging and by email or text notification. Import and sourcing requests submitted by Buyers may be routed to a Verified Dealer at our discretion. We do not guarantee any number of leads, inquiries, or sales. Dealers may use lead information only to respond to the Buyer's request and must honor a Buyer's request to stop contact.

Suspension and termination. We may suspend or end a Dealer subscription for non-payment, for repeated inaccurate Listings, for misuse of lead information, or for conduct that in our judgment harms Buyers or the Services. If we end a subscription without cause, we will refund any prepaid fees for the unused portion of the billing period.

7. BUYER INQUIRIES AND SOURCING REQUESTS

When you send an inquiry about a Listing, your name and message are delivered to the Seller through Member Messaging and by notification. When you submit an import or sourcing request, the details you provide, including your name, email, phone, budget, and timeline, are sent to our team and may be passed to a Verified Dealer who we believe can help. Submitting a request does not obligate JDM Supply or any Dealer to find or sell you a vehicle, and does not create a contract until you and a Seller agree on one directly.

Buyers are responsible for their own due diligence, including inspecting the vehicle, verifying title and import documentation, confirming that the vehicle can be registered where they live, and arranging payment through methods they trust.

8. MEMBER MESSAGING AND CONDUCT

JDM Supply provides messaging and communication tools (collectively, "Member Messaging") so that Buyers and Sellers can discuss Listings and negotiate sales. By using Member Messaging, you agree to the following rules of conduct:

1. Messages must relate to a Listing or a good-faith inquiry about buying or selling a vehicle on the Services. Unsolicited promotional messages, off-topic outreach, and bulk or automated messaging are prohibited.
2. You will not send messages that are harassing, threatening, abusive, defamatory, sexually explicit, hateful, or discriminatory, or that target another Member on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
3. You will not contact a Member after they have asked you to stop, and you will not use Member Messaging to impersonate any person or entity.
4. You will not use Member Messaging to facilitate fraud, phishing, money laundering, the sale of stolen goods, or any other unlawful activity. You will not solicit payment in a manner designed to evade these Terms, nor direct other Members to competing marketplaces.
5. You will not share another Member's personal information without their consent, and you will not post or transmit malware, viruses, or links intended to compromise another Member's security.

You acknowledge that JDM Supply may, but is not obligated to, monitor, review, retain, and remove messages sent through Member Messaging in order to enforce these Terms, comply with law, or protect the safety of Members. We may suspend or terminate any account that violates these rules, with or without prior notice, at our sole discretion.

To report abusive messages or other Member misconduct, contact us at support@jdmsupply.com. Where possible, include screenshots and the username or Listing involved.

9. SHIPPING SERVICES

JDM Supply operates a vehicle shipping desk that provides transport quotes and arranges domestic vehicle transport through independent licensed carriers. Quotes shown on the Services are estimates based on the route, vehicle, and service type you enter. The final price, the carrier, pickup and delivery windows, cancellation terms, and payment terms are those presented to you when you book.

Vehicle transport is performed by independent motor carriers, not by JDM Supply. Carriers are responsible for the vehicle while it is in their custody, subject to the carrier's own bill of lading, insurance, and liability limits. You are responsible for providing accurate vehicle details, including whether it runs, preparing the vehicle for transport, being available or designating someone at pickup and delivery, and noting any damage on the bill of lading at delivery. Claims for transport damage must be made in writing to shipping@jdmsupply.com within the period stated at booking.

Shipping services are separate from any vehicle purchase. Booking transport does not make JDM Supply a party to the sale, and a problem with the sale does not entitle you to a transport refund, or the reverse.

10. FEES AND PAYMENTS

• Browsing, creating an account, and contacting Sellers are free for Buyers.
• Private-party Sellers are not currently charged to post a Listing.
• Dealers pay the subscription fees described in Section 6.
• Shipping customers pay the price presented at booking.

Subscription and shipping payments are processed by third-party payment processors. We do not store full payment card numbers. Payments for vehicles are made directly to the Seller and never pass through JDM Supply. We may introduce new fees or change existing ones with advance notice; changes will not apply to a period you have already paid for.

11. YOUR CONTENT

You keep ownership of the Content you submit. By submitting Content, you grant JDM Supply a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, resize, reformat, translate, display, distribute, and otherwise use it to operate, promote, and improve the Services, including in search results, email alerts, social media posts, and marketing. This license continues after a Listing is sold or removed to the extent the Content appears in sold-listing archives, cached pages, emails already sent, or materials already published. You also grant other Members a limited right to view your Content as part of using the Services.

You represent that you have all rights needed to grant this license and that your Content does not infringe anyone's rights or violate any law. We may remove Content that we believe violates these Terms.

Copyright complaints. If you believe Content on the Services infringes your copyright, send a notice under the Digital Millennium Copyright Act to support@jdmsupply.com or to the postal address in Section 20. Include the copyrighted work, the URL of the infringing material, your contact details, a statement of good-faith belief, a statement under penalty of perjury that you are authorized to act, and your physical or electronic signature. We may remove the material and may terminate repeat infringers.

12. THIRD-PARTY SERVICES AND LINKS

The Services link to third-party providers such as vehicle history reports, escrow and title services, financing, insurance, and registration resources. We may receive a referral fee when you use some of these links. Those providers are independent of JDM Supply, and your use of them is governed by their own terms and privacy policies. We do not endorse and are not responsible for third-party services, and any financing or insurance decision is between you and that provider.

13. COMMUNICATIONS

By creating an account you agree to receive service emails such as verification codes, password resets, message notifications, and important account notices. We may also send marketing emails, saved-search alerts, and price alerts, which you can turn off in your account settings or through the unsubscribe link in any such email.

If you sign in or sign up with a phone number, or turn on text notifications, you consent to receive text messages from JDM Supply for verification codes and for the notifications you enable, such as new-message alerts and price alerts. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of notification texts, or turn them off in your account settings; you may still receive verification codes when you sign in by phone. Our Privacy Notice explains how we handle phone numbers.

14. PROHIBITED USES

You agree not to:

• Use the Services for any unlawful purpose or to solicit unlawful acts.
• Post false, misleading, or fraudulent Listings, inquiries, or shipping requests.
• Scrape, crawl, harvest, or bulk-download Listings, Member information, or other data from the Services, by automated means or otherwise, except as a search engine indexing public pages or as we expressly permit in writing.
• Collect Member contact details for marketing, or contact Members for any purpose other than the transaction they inquired about.
• Interfere with the Services' security, probe or test their vulnerability, bypass access controls, or upload malicious code.
• Impersonate any person or entity, or misrepresent your affiliation with a dealer or business.
• Infringe anyone's intellectual property, privacy, or other rights, or harass or discriminate against anyone.
• Resell, sublicense, or commercially exploit the Services without our consent.

15. DISCLAIMERS AND RELEASE

ALL VEHICLES ARE SOLD "AS IS, WHERE IS"

All vehicles advertised on the Services are offered by their Sellers "AS IS, WHERE IS," WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, FROM JDM SUPPLY. JDM Supply does not inspect, verify, or authenticate any vehicle or any statement in a Listing. It is the sole responsibility of the Buyer to inspect and investigate a vehicle before buying it.

Import and registration laws. JDM Supply does not guarantee that any vehicle can be legally imported, titled, registered, or driven in any state or country. Import eligibility, emissions rules, safety exemptions, and state registration requirements change and vary by jurisdiction. Resources and guides we publish are general information, not legal advice, and may be out of date.

The Services. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, JDM SUPPLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT LISTINGS, QUOTES, OR OTHER INFORMATION WILL BE ACCURATE OR COMPLETE.

In-person meetings and off-platform transactions. JDM Supply does not arrange, schedule, supervise, attend, or participate in any in-person meeting, inspection, test drive, payment exchange, or vehicle handover between Members. We do not perform background checks on Members and do not verify their identity, financial capacity, or trustworthiness beyond the basic account requirements in these Terms. Members are solely responsible for deciding whether, when, where, and how to meet another Member, and for taking precautions such as meeting in public places, verifying identity and funds independently, and using escrow or inspection services where appropriate.

YOU AGREE THAT JDM SUPPLY IS NOT RESPONSIBLE OR LIABLE FOR THE CONDUCT OF ANY MEMBER, ON OR OFF THE SERVICES, AND THAT YOU ASSUME ALL RISK ASSOCIATED WITH MEETING OR TRANSACTING WITH OTHER MEMBERS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE JDM SUPPLY, ITS OFFICERS, EMPLOYEES, AND AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, INJURIES, LOSSES, OR DAMAGES, INCLUDING BODILY INJURY, DEATH, PROPERTY DAMAGE, THEFT, FRAUD, AND PAYMENT DISPUTES, ARISING OUT OF OR RELATED TO ANY MEETING OR TRANSACTION WITH ANOTHER MEMBER, WHETHER INITIATED THROUGH THE SERVICES OR OTHERWISE.

16. LIMITATION OF LIABILITY AND INDEMNITY

TO THE FULLEST EXTENT PERMITTED BY LAW, JDM SUPPLY AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THE SERVICES, ANY LISTING, ANY VEHICLE, OR ANY TRANSACTION BETWEEN MEMBERS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JDM SUPPLY IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). For shipping services, our liability for transport damage is further limited to the carrier's liability under its bill of lading and insurance.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity. You agree to defend, indemnify, and hold harmless JDM Supply and its officers, employees, and affiliates from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your Content, your Listings, your use of the Services, your transactions with other Members, or your violation of these Terms or any law.

17. DISPUTE RESOLUTION AND ARBITRATION

Please read this section carefully. It requires you to arbitrate most disputes with JDM Supply individually and limits the ways you can seek relief.

Informal resolution first. Before starting arbitration or any court proceeding, you agree to send a written description of the dispute and the relief you seek to support@jdmsupply.com or to the postal address in Section 20, and we agree to do the same to the email on your account. The parties will try in good faith to resolve the dispute for at least thirty (30) days after that notice.

Binding arbitration. If the dispute is not resolved informally, any claim arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as stated below. The Federal Arbitration Act governs this section. The arbitrator, not a court, decides whether a claim is subject to arbitration. Arbitration will take place in Maricopa County, Arizona, by video, or by written submission, as the rules allow. Each party bears its own attorneys' fees unless the arbitrator awards fees under applicable law; AAA filing fees are allocated under the Consumer Arbitration Rules.

Class action waiver. YOU AND JDM SUPPLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of different Members or preside over any form of class proceeding. If this waiver is found unenforceable for a particular claim, that claim will proceed in court rather than arbitration, and the remainder of this section remains in effect.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive relief in court to protect intellectual property or to stop unauthorized access to the Services.

Opt-out. You may opt out of this arbitration agreement by emailing support@jdmsupply.com with the subject "Arbitration Opt-Out," your name, and the email on your account, within thirty (30) days after you first accept these Terms. Opting out does not affect any other part of these Terms.

Governing law and venue. These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. For any claim that is not subject to arbitration, you and JDM Supply submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.

18. SUSPENSION AND TERMINATION

You may close your account at any time by emailing support@jdmsupply.com. We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for us or other Members, or if we discontinue the Services. Sections that by their nature should survive termination, including Sections 11, 15, 16, 17, and 19, will survive.

19. CHANGES TO THESE TERMS

We may update these Terms from time to time. The "Last updated" date at the top of this page shows the most recent revision. For material changes we will make reasonable efforts to notify Members, such as by email or an in-product notice, before the changes take effect. Your continued use of the Services after a revised version takes effect means you accept it. If you do not agree, stop using the Services and close your account.

20. GENERAL AND CONTACT

These Terms, together with the Privacy Notice and any booking or subscription terms presented to you at the time of purchase, are the entire agreement between you and JDM Supply about the Services. If any part of these Terms is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
